U3O8 Corp. Files NI 43-101 Technical Report on the Laguna Salada Project, Argentina


TORONTO, ONTARIO--(Marketwire - May 20, 2011) -U3O8 Corp. (TSX VENTURE:UWE), a Canadian-based company focused on exploration and resource expansion of uranium and associated commodities in South America, reports the filing of the National Instrument 43-101 ("NI 43-101") Technical Report on the Laguna Salada Project in Chubut Province, Argentina, following the company's press release on April 7, 2011 that announced the uranium- vanadium resource estimate on this project as follows:

Uranium:

* Indicated Resource: 6.3 million pounds ("mlbs") U3O8 (47 million tonnes at a grade of 60ppm U3O8);
* Inferred Resource: 3.8mlbs U3O8 (21 million tonnes at a grade of 85ppm U3O8);

Vanadium:

* Indicated Resource: 57mlbs V2O5 (47 million tonnes at a grade of 550ppm V2O5); and
* Inferred Resource: 27mlbs V2O5 (21 million tonnes at a grade of 590ppm V2O5).

Laguna Salada is a low-grade prospect with a number of positive attributes for a potentially low-cost mining project including excellent beneficiation features that can increase the uranium and vanadium grades by four to 12 times through simple and inexpensive screening (see U3O8 Corp's press releases dated April 7, 2011 and March 2, 2011.) For uranium, this would lead to a head grade of approximately 550-580 ppm U3O8 – typical of head grades of similar deposits elsewhere in the world1. The mineralized layer at Laguna Salada lies near the surface of flat-topped mesas and mining could simply lower the profile of the mesas. The uranium-vanadium occurs in soft, unconsolidated gravel that should require no blasting and crushing. Acid leach tests yielded good recoveries of both metals. Metallurgical test work on both acid and alkaline leach is ongoing.

Mineralization remains open in both the Guanaco and Lago Seco areas of Laguna Salada. Further resource growth will be investigated through the exploration of possible extensions to the Laguna Salada Project as well as through exploration of similar targets in Santa Cruz Province in southern Argentina.

A summary of the resource estimates in the Laguna Salada Project is shown below. The recommended cut-off grades for the two mineralized areas, taking into account their distinct beneficiation characteristics, are: 25ppm U3O8 for Guanaco and 100ppm U3O8 for Lago Seco.



The NI 43-101 Technical Report is dated May 20, 2011 and titled "Laguna Salada Project, Chubut Province, Argentina, NI 43-101 Technical Report on Laguna Salada, Initial Resource Estimate". U3O8 Corp. Announces Creation of Rare Earth Subsidiary & Concurrent Financing

U3O8 Corp. (TSX VENTURE:UWE), a Canadian-based company focused on exploration and resource expansion of uranium and associated commodities in South America, has announced the transfer of its Jasimampa rare earth property in Santiago del Estero Province, Argentina, into a new rare earth focused subsidiary, South American Rare Earth Corp. (the "Property Spin Out"). The spin-out of this non-core asset allows for a focused strategy to explore and finance early-stage rare earth properties by South American Rare Earth while looking for other rare earth opportunities in South America.

New Rare Earth Subsidiary

Following the completion of the Property Spin Out and Offering, U3O8 Corp. will hold approximately 19.9% of the shares issued in South American Rare Earth as well as a 2% net smelter royalty in return for its interest in the Jasimampa property, which is being transferred to South American Rare Earth. U3O8 Corp. will initially manage the exploration program and corporate development opportunities of South American Rare Earth, and will be reimbursed for funds used to explore the Jasimampa property. This opportunity is initially proposed to be a private company and could transition to a publicly traded vehicle as early as 12 months from inception if exploration results are positive.

Reconnaissance exploration of the Jasimampa property has defined a core zone that has an average grade of approximately 1.1% total rare earth oxides ("TREO"). Mineralization appears to extend beneath shallow soil cover and drilling is required to further evaluate the extent and grade of the mineralized area. Early indications are that the core target area measures approximately 600 metres long by 250 metres wide.

The exploration target is a carbonatite intrusive centre that contains cerium, lanthanum and neodymium-bearing minerals. Approximately 5% of the TREO consist of heavy rare earth elements ("HREO"). The potential of the property will be investigated further through an extensive trenching program. Subject to good assay results, drilling is planned to commence in the latter part of 2011.

Concurrent Financing

In connection with the Property Spin Out, U3O8 Corp. has engaged PowerOne Capital Markets Limited ("PowerOne") to complete a private placement (the "Offering") of up to 20,000,000 units ("Units") of South American Rare Earth at a price of $0.20 per Unit to raise up to $4,000,000. Each Unit will consist of one common share (a "Common Share") and one-half of one Common Share purchase warrant (a "Warrant"). Each full Warrant will be exercisable into one Common Share of South American Rare Earth at a price of $0.30 per share for a period ending on the earlier of (i) 24 months following the public listing of the Common Shares; and (ii) five years following the completion of the Offering.

As consideration for the services of PowerOne, U3O8 Corp. shall pay a cash commission and issue broker warrants ("Broker Warrants") equal to 7.5% of the Units issued in the Offering. Each Broker Warrant will be exercisable into one Unit of South American Rare Earth at a price of $0.20 per Unit for 24 months following the public listing of the Common Shares.

Insiders of U3O8 Corp. will initially be limited to subscribe for no more than 25% of the Units, which is approximately proportional to their direct and indirect holdings in U3O8 Corp. In the event that the Offering is not fully subscribed, U3O8 Corp. insiders will be eligible to subscribe for additional Units. The net proceeds of the Offering will be used to explore the Jasimampa property, to search for and acquire additional properties prospective for rare earth metals and to reimburse the costs of U3O8 Corp. incurred in the acquisition and exploration of the Jasimampa property.

U3O8 Corp. Reports Positive Metallurgical Test Results From the Laguna Salada Project, Argentina


Corroborates Potential for Low-Cost Uranium-Vanadium Project


TORONTO, ONTARIO--(Marketwire - March 2, 2011) - U3O8 Corp. (TSX VENTURE:UWE), a Canadian-based company focused on exploration and resource expansion of uranium and associated commodities in South America, reports positive results from the first metallurgical tests on uranium- and vanadium-bearing gravels from the Laguna Salada Project, Chubut Province, Argentina, which show that:

Uranium and vanadium grades can be increased between 4 and 12 times simply by screening;
Uranium leach recovery from upgraded material was between 74% and 96%; and
Vanadium leach recovery from upgraded material was between 71% and 86%.

Other similar deposits use an alkaline leach and our tests using this approach are in progress. Further test work will be ongoing in 2011 to optimize the recovery of uranium and vanadium. Coffey Mining, of Australia, is incorporating these preliminary beneficiation and uranium-vanadium extraction results into its calculation of a proposed National Instrument 43-101 ("NI 43-101") resource estimate on Laguna Salada that is due out shortly."

Metallurgical Test Work

The Laguna Salada Project contains slightly different types of gravel that occur in two distinct areas. Both gravels are soft and unconsolidated. A composite sample from each area was excavated with a backhoe and sent, without any processing or crushing, to SGS Lakefield's laboratory in Lakefield, Ontario, for metallurgical testing. The metallurgical tests involved three components as follows:

1. Wet Screening of Mineralized Gravel

The gravel samples from both areas were screened to determine the extent to which the fine powdery uranium-vanadium mineral, carnotite, could be separated from the coarser pebbles and sand grains in the gravel. In each case, the gravel was tumbled and wet screened through successively smaller mesh sizes. Optimal results were achieved by screening the samples through a 0.15 millimetre ("mm") mesh.

Results from the Guanaco area show that the coarse material can be screened from the sample, leaving between 70% and 100% of the fine-grained carnotite concentrated in only 8% of the weight of the original sample. Therefore, the carnotite can be upgraded as much as 12 times by tumbling and wet screening the raw mineralized gravel.

Results from the Lago Seco area show that between 88% and 100% of the carnotite can be concentrated in 23% of the original sample, which corresponds to about a four time increase in grade by screening the raw sample that was excavated from the field.

2. Acid Leach Test

The fine-grained material that contains up to 100% of the uranium and vanadium screened from the original raw sample was then subjected to an acid leach test to determine the extent to which the mineralization can be recovered.

The sample from the Guanaco area showed 74% uranium and 86% vanadium recovery after a leach time of 36 hours with 23.6 kilogram/tonne ("kg/t") sulphuric acid consumption per tonne of the raw mineralized gravel.

The sample from the Lago Seco area showed 96% uranium and 71% vanadium recovery with 49.2 kg/t of acid consumption per tonne of the raw mineralized gravel.

3. Carbonate Leach Test

Carbonate leach testing on the fine-grained samples is underway to determine the extent to which uranium and vanadium can be recovered using alkaline fluids as opposed to acid. Results are due in late March.

Summary of assay results from the 465 trenches (of the 1,090 trenches excavated) in the Laguna Salada Project that have grade-thickness values greater than 50 ppm-m (parts per million - metre) before screening of the mineralized gravel to increase the uranium and vanadium grades.



The results have been separated into three groups according to the uranium grade-thickness value from each trench. Grade-thickness (the uranium grade in ppm multiplied by the thickness in metres of the uranium-bearing layer in each trench). This table shows the average grade and average thickness of all the trenches within each of the three groups or contour-bounded intervals. The arithmetic average thickness of the uranium-vanadium-bearing layer in the 465 trenches is 0.93 metres at an average sample grade of 155ppm U3O8 and 842ppm V2O5. The average density of the gravel is 1.68 tonnes per cubic metre.

Regulatory Update in Chubut Province

The Laguna Salada Project is located in Chubut Province of Argentina, where an open-pit mining ban is currently in effect. Draft legislation is under review in the Provincial Legislature, which proposes that mining carried out in an environmentally and socially responsible manner be allowed in the central, semi-desert plain of the region. A similar approach that allows mining in the central plain, which is an area of low economic viability, is in effect in the adjacent Santa Cruz Province. Laguna Salada and several other mining projects are situated in this central plain of Chubut Province including CNEA's (Argentinean National Nuclear Authority) Cerro Solo uranium deposit and Pan American Silver's Navidad silver project, both of which are due to be mined by open-pit methods. Both of these projects are moving towards production and indications are that a change in Chubut Province's mining policy may be made in late 2011.

U3O8 Corp. Outlines 2011 Exploration Program Aimed at Rapidly Expanding Its NI 43-101 Resource Portfolio in South America


TORONTO, ONTARIO--(Marketwire - Jan. 24, 2011) - U3O8 Corp. (TSX VENTURE:UWE), a Canadian-based company, focused on exploration and resource expansion of uranium and associated commodities in South America, today announced its planned exploration program, which aims to substantially increase its National Instrument 43-101 ("NI 43-101") resource portfolio in Colombia, Guyana and Argentina in 2011.

The primary objectives are:

* Berlin Project, Colombia: to define a potential NI 43-101 resource of an initial 20 to 25 million pounds ("mlb") uranium in part of the area on which a historic resource was estimated1;

* Kurupung Project, Guyana: to expand the current NI 43-101 resource to 20 to 25mlb2 of uranium while continuing to show further size potential of the Kurupung uranium system; and

* Laguna Salada Project, Argentina: to report a NI 43-101 resource estimate on Laguna Salada while exploring the next target with the aim of increasing the overall resource to 20 to 24mlb3 uranium on these two projects in southern Argentina.

Berlin Project1

A 10,000 metre ("m") exploration drilling program is underway in the southern part of the mineralized trend at Berlin – in the area on which a historic resource was estimated. A second drill rig is scheduled to arrive on-site in February. U3O8 Corp's trenching has demonstrated consistent mineralization over 3km along trend and drilling has intersected similar uranium grades to historic data, but over greater widths than those recorded in historic reports. In addition, potential co-products including phosphate, vanadium, yttrium, rhenium, molybdenum and silver have been identified (December 8, 2010 press release).

Preliminary metallurgical test results are expected in Q1 2011. Infill drilling is planned to start in Q2 as the Berlin Project is advanced towards a potential NI 43-101 uranium resource estimate with an initial objective of 20 to 25mlb by year-end. In addition, trenching continues in the northern part of the property to confirm historic records that show that the entire 10.5km mineralized trend is prospective, which could substantially expand the size potential of the project.

Kurupung Project2

An infill drill program of approximately 11,000m is planned to begin in March, on the first of three mineralized areas: the Aricheng West corridor, Aricheng C, and on the Accori North C structure – towards expanding the current NI 43-101 resource on the Kurupung Project (January 20, 2011 press release).

Concurrent with infill drilling, scout drilling will continue with the aim of showing that the Kurupung could be of comparable size to peer deposits that typically contain 60 to 130mlb of uranium4.

Laguna Salada Project3

Initial metallurgical test results and a NI 43-101 resource on Laguna Salada are expected in Q1 2011. U3O8 Corp. has commenced exploration of another surficial uranium target with similar size potential and grade to Laguna Salada. As with Laguna Salada, exploration of the second target is planned through mechanized trenching due to the soft and unconsolidated nature of the uranium-vanadium - bearing gravels. The goal is to have a cumulative resource estimate of 20 to 24mlb completed on the two projects in southern Argentina by the end of 2011.

Free-Digging Surficial Uranium in Sandy Gravel Offers Low-Cost Mining Potential

TORONTO, ONTARIO--(Marketwire - Oct. 27, 2010) - U3O8 Corp. (TSX VENTURE:UWE), a Canadian-based company focused on exploration and resource expansion of uranium and associated commodities in South America, reports that successful exploration has increased the size of its uranium-vanadium discovery at Laguna Salada, in Chubut Province, Argentina, to 28 square kilometres ("km2") in extent (Figure 1). A total of 1,090 trenches have been excavated to determine the extent of the mineralized layer which occurs from surface down to a maximum depth of three metres in unconsolidated sandy gravel. The average thickness of the mineralized layer is 0.9 metres at average uranium and vanadium grades of 155 parts per million ("ppm") U3O8 and 842ppm V2O5 respectively at a cut-off grade of 50ppm U3O8 (Table 1).

"Uranium and vanadium at Laguna Salada occur within a low-grade flat mineralized layer located just beneath surface in a soft sandy gravel that should be amenable to simple and low cost mining techniques," said Dr. Richard Spencer, President and CEO of U3O8 Corp. Summary of assay results from the 465 trenches (of the 1,090 trenches excavated) in the Laguna Salada Project that have grade-thickness values greater than 50 (parts per million - metre).

The results have been separated into three groups according to the uranium grade-thickness value from each trench. Grade-thickness (the uranium grade in ppm multiplied by the thickness in metres of the uranium-bearing layer in each trench) provides a way of visualizing the distribution of uranium as shown in Figure 2. This table shows the average grade and average thickness of all the trenches within each of the three groups or contour-bounded intervals (each of which is coloured differently in Figure 2). The arithmetic average thickness of the uranium-vanadium- bearing layer in the 465 trenches is 0.93 metres at an average sample grade of 155ppm U3O8 and 842ppm V2O5. The average density of the gravel is 1.68 tonnes per cubic metre.

Mineralization at Laguna Salada is contained in two flat-topped mesas that are about 10 metres higher than the surrounding plain. Carnotite, the principal uranium-vanadium mineral at Laguna Salada, occurs as a powdery filling between the sand grains in the gravel and also as a partial rim on pebbles. Tests done at the time of sampling suggest that dry sieving through a quarter-inch (nominal six millimetre) mesh may provide a simple and inexpensive means of augmenting the uranium and vanadium grade of the sand.

Exploration at Laguna Salada has been mainly through mechanized trenching since the unconsolidated nature of the gravel renders conventional diamond, aircore or reverse circulation drilling an ineffective means of sampling (Figure 3). The areas that have been trenched at nominal 400 by 400 metre spacing are being in-filled to nominal 200 by 200 metre spacing in preparation for the NI 43-101 resource estimation planned for completion by the end of the year.

Regulatory Update in Chubut Province

The Laguna Salada Project is located in Chubut Province of Argentina, where an open-pit mining ban is currently in effect. Draft legislation is under review in the Provincial Legislature, which proposes that mining carried out in an environmentally and socially responsible manner be allowed in the central, semi- desert plain of the region. A similar approach that allows mining in the central plain, which is an area of low economic viability, has already been adopted in the adjacent Santa Cruz Province. Laguna Salada and several other mining projects are situated in this central plain of Chubut Province including CNEA's (Argentinean National Nuclear Authority) Cerro Solo uranium deposit and Pan American Silver's Navidad silver project, which it plans to mine by open-pit methods. Both of these projects are moving towards production and indications are that a change in Chubut Province's mining policy may be made in 2011.

Quality Assurance & Quality Control

Exploration trenches were excavated at a nominal 400 metre by 400 metre square grid and infilled to a 200 metre by 200 metre grid in the mineralized areas. The mineralized layer, identified with a scintillometer, was marked in the trench wall and its thickness and depth below surface recorded before the sample profile was removed with the bucket of the excavator. Sample material was placed on a tarpaulin where it was homogenized and quartered, one quarter being bagged and weighed before being shipped to the laboratory in Mendoza City in Argentina. Standards, blanks and other control samples constitute approximately 13% of the total number of samples submitted to the laboratory. The samples were dried, jaw crushed to -10 mesh (2.0mm grain size), riffle split and pulverized with a puck and ring to -140 mesh (106 micron grain size). A split of the -140 mesh pulp was analyzed using Inductively Coupled Plasma Atomic Emission Spectrometry (ICP-AES) after four-acid digestion. Samples sent to Alex Stewart Assayers were prepared and analyzed in Mendoza, while those submitted to ALS Chemex were prepared in Mendoza City and the pulps analyzed in its assay laboratory in Lima, Peru.

TORONTO, ONTARIO--(Marketwire - June 3, 2010) - U3O8 Corp. (TSX VENTURE:UWE), a Canadian-based company focused on uranium exploration and resource expansion in South America, reports trench results from the Laguna Salada Project in Chubut Province, Argentina. A total of 463 trenches have defined two areas of near surface uranium-vanadium mineralization extending over 16.4 square kilometres (Figure 1). The trenching program continues, aimed at expanding the mineralized area and towards completing a National Instrument 43-101 ("NI 43-101") resource in late 2010. The Laguna Salada Project is a grassroots discovery recently acquired from Mega Uranium Ltd. ("Mega") in which uranium-vanadium mineralization occurs within three metres from surface in unconsolidated gravel in a semi-desert environment.

Uranium-vanadium mineralization at Laguna Salada occurs from surface to a depth of three metres in unconsolidated sandy gravel. This surficial uranium target is typical of a class of deposits known as caliche-type uranium, which is similar to, but softer than, calcrete-type uranium deposits such as Paladin's Langer Heinrich and Areva's Trekkopje, both in Namibia and Mega's Lake Maitland in Western Australia (Table 2)1. The continuity of mineralization, shallow depths and unconsolidated nature of the gravel that contains the uranium-vanadium at Laguna Salada potentially offers a lower-cost mining opportunity than calcrete-type uranium in which the hardness of the uranium-bearing layer may necessitate blasting.

Extension Program and NI 43-101 Preparation

An extension program of approximately 1,000 trenches is underway to expand on the potential size of the mineralized zones through follow-up of significant uranium-vanadium grades identified in exploration trenches both to the west and east of the central zones (Figure 2). Trenches will be spaced in a 400 by 400 metre square grid and reduced to 200 by 200 metre spacing in mineralized areas. Extension trenching is expected to be completed by September 2010.

Coffey, an independent consulting company experienced in surficial-type uranium, has been retained to undertake a NI 43-101 resource estimate on the Laguna Salada Project. A consultant from Coffey made a site visit in May 2010. Ongoing exploration data will be submitted to Coffey at regular intervals towards the planned completion of a NI 43-101 resource estimate in late 2010.

Regulatory Update in Chubut Province

The Laguna Salada Project is located in Chubut Province of Argentina, where a ban on open-pit mining is currently in effect. Numerous statements made by the Governor of the Province indicate that this law is under review and the Provincial Government may be moving to support pro-mining legislation. Discussions are underway between government officials and mining industry representatives to lift the provincial ban in certain areas, including the central semi-desert plain, where Laguna Salada is situated. Another positive sign is that Pan American Silver has commenced an aggressive program towards development of its La Navidad silver project. The proposed open pit mine is located in Chubut Province about 300 kilometres northwest of Laguna Salada. Progress to date suggests the policy change could occur as early as 2011.

Proximity to Argentina’s largest known uranium deposits


U3O8 Corp. has an extensive land position adjacent to Argentina’s largest known uranium deposits (the Cerro Solo deposit in Chubut province with a historic resource of 10 million pounds at 0.15% U3O8 and the Sierra Pintada deposit in Mendoza Province with a historic resource of 30 million pounds at 0.12% U3O8)1 presently owned and under development by the National Atomic Energy Commission of Argentina (CNEA). The CNEA has identified these two areas – the Cretaceous San Jorge Basin of Chubut Province and the Sierra Pintada Uranium District in Mendoza Province – as having the country’s best uranium discovery potential.

U3O8 Corp’s most advanced properties in Argentina are in Chubut Province, and contain both surficial uranium and sandstone-hosted uranium targets.

Surficial uranium – Laguna Salada is the first project in Argentina that is being readied to add to our resource inventory, and we aim to complete a NI 43-101 resource estimate by the end of 2010. U3O8 Corp. Completes Acquisition of Mega Uranium's South American Assets

TORONTO, ONTARIO--(Marketwire - April 8, 2010) - U3O8 Corp. (TSX VENTURE:UWE) and Mega Uranium Ltd. (TSX:MGA) ("Mega") are pleased to announce the closing of U3O8 Corp's acquisition of Mega's South American uranium properties as previously detailed in the press release dated February 17, 2010. The acquisition creates a well funded, premier South American-focused exploration company with one of the most advanced uranium portfolios on that continent, comprising National Instrument 43-101 ("NI 43-101") compliant resources, historic resources and near-resource potential in an environment of accelerating demand for uranium.

Under the terms of the acquisition, U3O8 Corp. has issued 30,564,858 common shares of U3O8 Corp. (the "U3O8 Shares") in exchange for Mega's South American properties and $4 million in cash. Mega will distribute the U3O8 Shares to its Canadian shareholders, on a pro-rata basis, as a dividend-in-kind paid on Mega's common shares (the "Dividend"), providing Mega shareholders with direct ownership in U3O8 Corp. * Laguna Salada Project, Argentina: The aim is to complete a NI 43-101 resource estimate by the end of 2010 on this project, which hosts uranium mineralization that lies within three metres from surface in unconsolidated sandy gravel.

It is uncertain if further exploration will define a mineral resource of significant size in the Kurupung Project. Potential quantity and grade is conceptual in nature. Mega Uranium Ltd. (TSX:MGA) ("Mega") announces that it acquired ownership today of 30,564,858 common shares of U3O8 Corp. (the U3O8 Shares"), representing approximately 57% of all of the common shares of U3O8 Corp. outstanding as at today. Mega does not own or control any common shares of U3O8 Corp., other than the U3O8 Shares.

Mega acquired the U3O8 Shares as consideration for the sale of its South American assets to U3O8 Corp. pursuant to the terms of an agreement that Mega entered into with the company (details of which were provided in a press release issued by Mega earlier today).

The U3O8 Shares were acquired for the purposes of distributing them to Mega shareholders by way of a pro rata dividend-in-kind on Mega's common shares, which was declared by Mega's board of directors today. U3O8 Corp. Shares Resume Trading


TORONTO, ONTARIO--(Marketwire - March 2, 2010) - U3O8 Corp. (TSX VENTURE:UWE) announces that in connection with its previously announced acquisition of Mega Uranium Ltd.'s South American properties (see press release dated February 17, 2010), U3O8 Corp's common shares will resume trading at the opening of the market today on the TSX Venture Exchange ("the TSX-V").

U3O8 Corp's proposed acquisition will result in a well funded, premier South American-focused uranium company that brings together a strong portfolio of projects at various stages, from National Instrument 43-101 ("NI 43-101") compliant resources to historic resources and near-resource potential, and merges proven technical and executive teams. This transaction will create a strong foundation for a dominant explorer and future developer in an environment of accelerating demand for uranium.

The three most advanced projects with the potential to add NI 43-101 resources in the short-term are:

* Kurupung Project, Guyana: Ongoing scout drilling aims to identify additional mineralized areas to demonstrate the size potential of the Kurupung. Resource drilling on new mineralized areas will then be undertaken to potentially add to the existing NI 43-101 resource. Geologically similar albitite-hosted deposits elsewhere in the world typically contain resources in the 50 to 130 million pound;

* Berlin Project, Colombia: Drilling will aim to verify the grade and width of mineralization reported in the historical uranium resource1 of 12.9 million tonnes at a grade of 0.13% U3O8 (38 million pounds U3O8), which also indicated significant grades of vanadium, molybdenum and phosphate; and

* Laguna Salada Project, Argentina: Aim to complete a NI 43-101 resource estimate by the end of 2010 on this project, which hosts uranium mineralization that lies within three metres from surface in soft gravel.

U3O8 Corp. to Acquire Mega Uranium’s South American Assets to Create a Dominant South American-Focused Uranium Exploration Company




TORONTO, ONTARIO--(Marketwire - Feb. 17, 2010) -U3O8 Corp. (TSX VENTURE:UWE) and Mega Uranium Ltd. (TSX:MGA) ("Mega") are pleased to announce that they have entered into a definitive agreement under which U3O8 Corp. will acquire all of Mega's South American uranium properties and $4 million in cash in exchange for 30,564,858 common shares of U3O8 Corp. (the "U3O8 Shares"). The acquisition will provide U3O8 Corp. with an expanded portfolio of projects at various stages, from National Instrument 43-101 ("NI 43-101") compliant resources in Guyana, to significant historical resources in Colombia and near-resource and discovery potential in Argentina. U3O8 Corp. will emerge as a well funded dominant explorer with a strong platform for growth in South America – one of the world's promising new frontiers for uranium exploration and development.

Following completion of the sale, Mega has agreed to take steps necessary to distribute the U3O8 Shares directly to its Canadian shareholders, on a pro-rata basis, by way of a dividend-in-kind paid on Mega's common shares, providing Mega's shareholders with direct ownership in U3O8 Corp. Transaction Details

As currently proposed, U3O8 Corp. will issue the U3O8 Shares to Mega, in exchange for all of the outstanding shares of a wholly-owned subsidiary of Mega, which will indirectly hold Mega's South American properties and $4 million in cash. Following completion of the sale, it is expected that Mega will distribute the U3O8 Shares to its shareholders as a dividend-in-kind paid on its common shares (the "Dividend").

No U3O8 Shares will be delivered to Mega shareholders who are, or are deemed to be, non-residents of Canada. Instead, these shares will be aggregated and sold in the open market, in an orderly fashion, on behalf of the non-resident shareholders who will receive a pro-rata share of the cash proceeds from the sale, net of applicable withholding taxes and brokerage fees.

If the transaction is completed as contemplated, Mega will advise shareholders of the record date and payment date of the Dividend.

Prior to the transaction, there are 23,057,700 issued and outstanding common shares of U3O8 Corp. After the completion of the transaction, there will be 53,622,558 common shares outstanding of U3O8 Corp. (approximately 57% of which will be held by Mega shareholders without consideration of U3O8 Shares to be sold on behalf of non-residents and treatment of fractional shares).

The acquisition is subject to the satisfaction of various conditions, including the approval by the Toronto Stock Exchange, TSX Venture Exchange and, in order to effect the Dividend, the approval by Mega's shareholders of a reduction in the stated capital of Mega's common shares at its Annual and Special Meeting to be held on March 19, 2010 (the "Meeting").
